USER AGREEMENT

This User Agreement ("Agreement") is a legal agreement between you and Gllit Technologies FZCO ("the Company," "we," "us," or "our"), governing your use of our website gllit.com ("Site") and the services ("Services") offered by us

ACCEPTANCE OF TERMS

By using the Site and Services, you agree to be bound by the terms and conditions of this Agreement, as well as any policies, guidelines, or rules posted on the Site. If you do not agree to any of these terms, you may not use our Site or Services.

ELIGIBILITY

You must be at least 18 years old and capable of forming a legally binding contract to use our Site and Services. If you are under 18 years old, you may use our Site and Services only with the consent and supervision of a parent or legal guardian who agrees to be bound by this Agreement.

THE SITE AND SERVICES

Our Site and Services are designed to directly connect property owners with property buyers and property tenants so that they can interact with each other and complete a property purchase or sale or rent transaction without the services of a broker or property agent.

The company and site are not property agents and do not charge any commission on any property deals that may occur on use of its services.

The Site also provides or may in future add-on other allied services like legal help, mortgage approval from banks, listing of services of home improvement and home maintenance service providers including but not limited to interior designers, movers and packers.

Some of the services on the Site are free, some are on subscription basis while some are on one-time-charge.

Users can access the website without any registration however use of some features are possible only on registration and subscription.

You agree to provide accurate and complete information when using our Site and Services. You are responsible for maintaining the confidentiality of your account information, including your username and password. You agree to immediately notify us of any unauthorized use of your account.

List Properties for Rent or Sale (by Owner or Landlord)

  1. You warrant that you are the sole owner of the property, or otherwise possess valid authorization from the owner(s) to list the property on the Site.
  2. You warrant that you are not a property agent or broker or a real estate developer.
  3. If you list your property on the Site, for sale and/or for rent, you agree
    1. to provide accurate, current, and complete information about your property, including its location, features, pictures, title deed and any other information as may be desired by the Site.
    2. To provide genuine and accurate personal identity documents as required by the Site.
    3. You will duly update the viewing availability of the properties listed by you
    4. To be contacted by other users of the Site via message chat or via viewing requests or via video calls.
    5. To respond to Viewing requests,Video Call Requests and Chat Messages
    6. To honour the viewing appointments and/or video call appointments fixed by you with the buyer or tenant, whether made through the Site or through any communication mode outside the Site.
    7. To deactivate or remove the listing once it is sold or rented, as the case may be. Gllit shall not be legally liable in case you fail to do so.

List Properties for Sale (by Real Estate Developer)

  1. You warrant that you are a developer possessing a valid license from RERA.
  2. If a project is off plan (under construction), you warrant that it is registered with RERA and hold a RERA-approved Escrow Account for the project.
  3. You warrant that you are not a property agent or broker
  4. If you list your property on the Site, for sale, you agree
    1. to provide accurate, current, and complete information about your property, including its location, features, pictures, title deed and any other information as may be desired by the Site.
    2. To provide genuine and accurate personal identity documents as required by the Site.
    3. You will duly update the viewing availability of the properties listed by you
    4. To be contacted by other users of the Site via message chat , via viewing requests or via video calls.
    5. To respond to Viewing requests,Video Call Requests and Chat Messages
    6. To honour the viewing appointments and/or video call appointments fixed by you with the buyer or tenant, whether made through the Site or through any communication mode outside the Site.
    7. To deactivate or remove the listing once it is sold or rented, as the case may be. Gllit shall not be legally liable in case you fail to do so.
  5. As per RERA regulations, you must obtain approval for every property listing (located within or outside of Dubai) and display the RERA Permit Number on all listings.

Connect with Property Owners

  1. As a buyer or tenant, you are solely responsible for conducting due diligence on any property you are interested in purchasing or renting.
  2. You agree to provide accurate, current, and complete information when making an offer to purchase or rent a property listed on the Site.
  3. You agree not to make any false, misleading, or fraudulent offers to purchase or rent a property listed on the company.
  4. You warrant that you are not a property agent or broker or a real estate developer.
  5. You shall make only valid and genuine viewing requests and/or video call requests to property owners.
  6. You shall send only valid, genuine and relevant chat messages to the property owner. You shall not indulge in sending spam, junk and promotional messages.
  7. You agree to honour the viewing appointments and/or video call appointments fixed by you with the property owner, whether made through the Site or through any communication mode outside the Site.

Additional Services

The Site also provides or may in future add on other allied services like legal help, mortgage approval from banks, listing services of home improvement and home maintenance service providers including but not limited to interior designers, movers and packers.

  1. You agree to provide accurate, current, and complete information when listing your services as a service provider on the Site.
  2. The service providers listed on the Site are listed by the registered users of the Site and not by the company. The Company does not verify the listing details provided by the registered users, and makes no warranties or representations as to their accuracy or completeness. The Company does make any warranties or representations on the actual performance and delivery of service.
  3. As a seeker of allied services, you are solely responsible for conducting due diligence on any service provider listed on the Site that you make choose to contact and take services of.

SUBSCRIPTION FEE AND CHARGES

  1. The company does not charge commission fees for connecting buyers and tenants with property owners through on the website.
  2. The company reserves the right to charge subscription fees from its registered users.
  3. The company reserves the right to charge fees for additional services, existing or future, including but not limited to legal help, mortgage assistance, listing Assistance, and/or advertising or featured listings, at its discretion.

RESTRICTIONS

You agree not to use our Site and Services to:

  1. Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libellous, invasive of another's privacy, or otherwise objectionable;
  2. Post or transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;
  3. Post or transmit any content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
  4. Post or transmit any unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation;
  5. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  6. Interfere with or disrupt our Site or Services or servers or networks connected to our Site or Services;

You agree to not to:

  1. use any automated device, software process or means to access, retrieve, scrape, or index our Site or any content on our Site;
  2. transmit spam, junk email, surveys, or other mass messaging, whether commercial in nature or not;
  3. violate the rights of any person, including copyright, trade secret, privacy right, or any other intellectual property or proprietary right;
  4. transmit or attempt to transmit any computer viruses, worms, defects or other items of a destructive manner.
  5. Engage in any activity that would constitute a criminal offense or give rise to a civil liability, or otherwise violate any applicable law or regulation.

LIMITATION OF LIABILITY

  1. The company is not responsible for any losses, damages, or liabilities resulting from the use of its services.
  2. The company is not responsible for any acts or omissions of its users.
  3. In no event shall the company be liable for any indirect, special, incidental, consequential, or punitive damages arising out of or in connection with this Agreement or the use of its services, whether or not the company has been advised of the possibility of such damages.
  4. The Company is not a real estate broker and the details of the properties available on the Website are listed by the registered users of the Site.
  5. The Company does not verify the property listing details provided by the registered users, and makes no warranties or representations as to their accuracy or completeness;
  6. The Company is not responsible for any errors, omissions, or inaccuracies in the listings, and makes no representations or warranties regarding the properties listed on the Site.
  7. Buyers are responsible for conducting their own due diligence before making an offer or closing the deal to purchase a property.
  8. Tenants are responsible for conducting their own due diligence before making an offer or closing the deal to rent a property.
  9. The Company is not responsible for any disputes or issues that arise between buyers and sellers and/or tenants and landlords.
  10. The Company reserves the right to remove any property listings from the Site at its sole discretion and without notice to the user who listed the property.
  11. Users who list properties on the Site agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from any inaccuracies or misrepresentations in their property listings.
  12. We do not monitor or review the content of other party's websites which are linked to from this website. Opinions expressed or material appearing on such websites are not necessarily shared or endorsed by us and should not be regarded as the publisher of such opinions or material. Please be aware that we are not responsible for the privacy practices, or content, of these sites. We encourage our users to be aware when they leave our site & to read the privacy statements of these sites. You should evaluate the security and trustworthiness of any other site connected to this site or accessed through this site yourself, before disclosing any personal information to them. This Company will not accept any responsibility for any loss or damage in whatever manner, howsoever caused, resulting from your disclosure to third parties of personal information.133

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the company, its affiliates, and their respective directors, officers, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the company's services or your breach of this Agreement.

INTELLECTUAL PROPERTY

Our Site and Services, including all content, software, graphics, and other materials, are protected by copyright, trademark, and other intellectual property laws. You acknowledge and agree that all rights, title, and interest in and to our Site and Services, including all intellectual property rights, are and shall remain the property of the Company.

You agree not to modify, reproduce, distribute, sell, or otherwise exploit any content or materials on our Site or Services, except as expressly authorized by the Company.

TERMINATION

  1. The company may terminate this Agreement and your access to its services at any time and for any reason, including if it believes that you have violated this Agreement or any applicable law or regulation.
  2. You may terminate this Agreement by discontinuing use of the company's services and closing your account.

DISCLAIMER OF WARRANTIES

Our site and services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or noninfringement. The company does not warrant that our site and services will be uninterrupted or error-free, that any defects will be corrected.

DISPUTES

  1. Any disputes, controversies, or claims arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the laws of the UAE.
  2. The arbitration proceedings shall be conducted in the English language and held in Dubai, UAE.
    1. The arbitration shall be conducted by a single arbitrator appointed by the Dubai International Arbitration Centre (DIAC) in accordance with its rules.
    2. The parties agree to waive any right to a trial by jury and to participate in arbitration proceedings in the UAE.
    3. The arbitrator's decision shall be final and binding upon the parties, and may be enforced in any court of competent jurisdiction.
    4. The parties shall bear their own costs, including legal fees, incurred in connection with the arbitration proceedings, unless otherwise awarded by the arbitrator.

GENERAL

By accessing this Site you consent to these terms and conditions. If any of these terms are deemed invalid or unenforceable for any reason (including, but not limited to the exclusions and limitations set out above), then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply. Failure of the Company to enforce any of the provisions set out in these Terms and Conditions and any Agreement, or failure to exercise any option to terminate, shall not be construed as waiver of such provisions and shall not affect the validity of these Terms and Conditions or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision.

NOTIFICATION OF CHANGES

The Company reserves the right to change these conditions from time to time as it sees fit and your continued use of the site will signify your acceptance of any adjustment to these terms.
